On February 28, 2022, KeyBanc Capital Markets (KBCM) successfully closed on the syndication of a $1.7 billion Incremental First Lien Term Loan for Authentic Brands Group, LLC. Proceeds from the transaction will be used to acquire Reebok and pay a one-time shareholder distribution. KBCM served as Joint Lead Arranger and Joint Bookrunner on the transaction.

On February 17, 2022, KeyBanc Capital Markets (“KBCM") successfully completed its buy-side advisory mandate in support of MSD Private Capital Group (“MSD”) on its acquisition of East West Manufacturing, LLC (“East West” or the “Company”) from Emigrant Capital Corporation and Heritage Growth Partners LLC. KBCM served as Exclusive Buy-Side Advisor to MSD based on its industry- leading manufacturing practice, long-term relationship with East West and MSD and proven M&A execution capabilities.

Based in Atlanta, GA, and founded in 2001, East West is a leading, global end to end joint design manufacturer providing a comprehensive and integrated set of product realization capabilities, from design through distribution. On February 17th, KeyBanc Capital Markets (“KBCM") successfully closed the syndication of $355 Million Senior Secured Credit Facilities for East West Manufacturing, LLC (“East West” or the “Company”). The facilities are comprised of a $40 million Revolving Credit Facility (the “Revolver”), a $275 million Senior Secured Term Loan Facility (the “Term Loan”), and a $40 million Delayed Draw Term Loan (the “DDTL”). Proceeds from the facilities were used to support MSD Pr ivate Capital Group’s (“MSD” or the “Sponsor”) acquisition of the Company, support ongoing working capital needs and future growth, and pay transaction related fees and expenses. KBCM served as Left Lead Arranger, Joint Bookrunner, and Administrative Agent on the Company’s inaugural syndicated transaction. KBCM was chosen to lead as a result of deep industry expertise, strong relationship with the Sponsor and Debt Capital Markets capabilities. KBCM also served as Exclusive Buy-Side Advisor to MSD.

On November 10, 2021, Lulu's Fashion Lounge Holdings, Inc. (the "Company") priced $92 Million in its Initial Public Offering ("IPO"). The Company plans to use the IPO proceeds to redeem all existing Series B Preferred Stock and Series B-1 Preferred Stock, repay a portion of its Term Loan and the remainder, if any, for general corporate purposes. KeyBanc Capital Markets acted as a Joint Bookrunner on the transaction.

(“ATL” or the “Company”), a portfolio company of Sun Capital Partners (“Sun”) on its sale to MiddleGround Capital (“MiddleGround”). On August 18, 2021, KeyBanc Capital Markets (“KBCM”) successfully closed a $325 Million Senior Unsecured Revolving Credit Facility ( "Facility") for The Davey Tree Expert Company (“Davey Tree” or the “Company”). Proceeds will be used to refinance existing indebtedness, for general corporate purposes, and to pay fees and expenses related to this transaction. KBCM acted as Sole Lead Arranger, Sole Bookrunner and Administrative Agent on the transaction.

The new Facility is an upsize of Davey Tree’s existing $250 million revolving credit facility and extends maturity to August 2026. KBCM leveraged the Company’s strong operating performance and existing banking relationships to obtain favorable terms that increase the Company’s financial and operating flexibility. KBCM has a long-standing relationship with Davey Tree and has executed several successful transactions for the Company.

Davey Tree, with operations throughout the United States and five provinces in Canada, provides a variety of tree care, grounds maintenance and consulting services for the residential, utility, commercial and government markets. Founded in 1880, Davey is employee-owned and has more than 11,000 employees who provide “Proven Solutions for a Growing World”.

On August 10th, 2021, KeyBanc Capital Markets (“KBCM”) successfully advised Dayton Parts (“Dayton” or the “Company”), a portfolio company of AEA Investors (“AEA”) on its sale to Dorman Products, Inc. (“Dorman”) for $338 million. Dayton engaged KBCM to serve as sell-side advisor based on its industry-leading Specialty Distribution practice and proven M&A execution capabilities. The Company, headquartered in Harrisburg, PA, is a leading distributor and manufacturer of undercarriage replacement products to the commercial vehicle aftermarket. Dorman, headquartered in Colmar, PA, supplies assorted replacement parts for passenger cars, light and heavy duty trucks, in the global automotive aftermarket industry.

Dayton’s operations include three manufacturing facilities and seven distribution centers located throughout the US and Canada.

On May 5th, 2021, KeyBanc Capital Markets (“KBCM”) successfully advised Action Packaging and Signature Flexible Packaging (“Signature and Action Flexible Packaging” or “SAP”), a portfolio company of H.I.G. Capital (“HIG”), on the acquisition of Chromatic Productions (“Chromatic”).
