Summary

On December 29, 2021, KeyBanc Capital Markets (“KBCM”) successfully closed a transaction consisting of $320 million of Senior Secured Credit Facilities for Secretariat International, Inc. (“Secretariat” or the “Company”). The $30 million Revolving Credit Facility, $190 million First Lien Term Loan, $30 million Delayed Draw Term Loan, and $70 million Second Lien Term Loan will be used to support the Company’s acquisition by a JLL continuation fund, refinance existing debt and pay all transaction related fees and expenses. KBCM served as Joint Lead Arranger, Joint Bookrunner Administrative Agent on this transaction. KBCM was chosen to lead the financing due to our long-standing relationship with the Sponsor, industry expertise and support in the financing.

Secretariat has particular expertise in disputes related to construction delay and damages, and commercial disputes involving economic damages, complex valuations and regulatory analysis.

Founded in 1988, JLL Partners is a New York based private equity firm. JLL has invested $5.7 billion in its portfolio companies and raised 8 funds since its founding. The firm typically invests between $100 million and $200 million in leading North American middle market companies and has a strong history in the healthcare sector, with 40% of the firm’s investments coming in the sector.
