Summary

On November 6, 2023, Vital Energy, Inc. (NYSE: VTLE) (Vital) closed on its acquisition of Delaware Basin assets from Tall City Property Holdings III LLC (Tall City) for $425 million. Vital agreed to acquire the assets for $300 million of cash and $125 million in common equity. Concurrently with Tall City, Vital acquired certain Delaware Basin assets of Henry Energy LP and Henry Resources LLC, along with Maple Energy Holdings, LLC, for a cumulative total of $1.098 billion. KeyBanc Capital Markets was advisor to Vital on the acquisition of Tall City.

KeyBanc Capital Markets was selected as a Buy-Side Advisor to Vital Energy because of its deep relationships and extensive experience in the Permian Basin.

Founded in 2006 as Laredo Petroleum, Vital is a public E&P company headquartered in Tulsa, Oklahoma. Vital focuses on continually refining its portfolio of holdings, acquiring acreage with high oil cuts and divesting lower-margin assets. Vital seeks to create efficiencies in its approaches to drilling, completions, crews, materials, transport, and all other facets of its business.

Founded in 2018 with a $500 million equity commitment from Warburg Pincus LLC (Warburg), Tall City is a private E&P company headquartered in Midland, Texas. Tall City focuses on pursuing play extension and acquire-and-exploit opportunities throughout the Permian Basin.

Founded in 1966, Warburg is a leading global growth investor headquartered in New York City. Warburg’s active portfolio of more than 250 companies is highly diversified by stage, sector, and geography.
